Senior Corporate Counsel

This position reports to the EVP/General Counsel and assists with advising the Company on matters relating to legal areas such as corporate, commercial, regulatory, and land development, including but not limited to real estate acquisition agreements, title review, development agreements, construction contracts, utility agreements, and other transactional and real estate matters across all operating states.


Duties & Responsibilities

  • Collaborate, advise, and make clear recommendations to land and other corporate departments
  • Draft and review contract templates
  • Advise personnel during contract negotiations and due diligence
  • Coordinate with outside counsel on acquisition negotiations and disputes
  • Review and report on status of title for land acquisitions; execute title curative as needed
  • Review and advise on state legislation, local municipal codes and regulatory/environmental compliance matters for new developments
  • Drafting and implementation of construction contracts with third parties
  • Assist in drafting and creation of restrictive covenants and homeowner associations
  • Advise land and finance department throughout land closing process
  • Prepare and provide legal training for land personnel and other departments
  • Perform annual audits of contract templates to ensure up-to-date status, compliance, and best practices for company
  • Handle responses to agency and governmental complaints
  • Additional duties as required
Requirements:
  • Juris Doctor from an accredited Law School
  • Licensed to practice law (and in good standing) in at least one jurisdiction
  • At least 5 years of relevant experience with law firm or corporate legal department

Preferred Qualifications

  • Experience in the title industry and/or real estate/construction industry
  • Interest in learning new areas of the law
  • Experience working in an extremely fast-paced environment
  • Strong understanding and implementation of confidentiality and ethical principles
  • Ability to work independently or on a team
  • Ability to analyze complex legal matters
  • Customer-focused and ability to effectively communicate with and influence business leaders at all levels of the organization
  • Excellent project management skills, writing skills, listening and oral communications skills, diplomacy, finesse, and interpersonal skills
  • Strong business judgment and skill in distinguishing between high and low priority legal issues
  • Demonstrated ability to influence business leaders and impact decision-making

Physical Demands

  • Lifting up to 20 pounds occasionally and up to 10 pounds frequently and frequently moving small objects.
  • Frequently sitting for long periods of time
  • Walking or standing occasionally
  • Must have manual use of hands and vision to use computer constantly
  • Occasional out-of-state travel
