This is a Hybrid role, must be able to work in a hybrid work environment both in the office and remotely (in the state of Florida). The office is located in Altamonte Springs, FL.

What it is:

The Paralegal plays a critical role in ensuring the legal and procedural integrity of the organization. This role is responsible for drafting, reviewing, and maintaining contracts, bylaws, amendments, and other corporate legal documents. Working closely with the Legal and Executive teams, the paralegal ensures all contractual and governance-related documentation aligns with applicable laws and internal policies.

Reporting to the COO, this position supports compliance initiatives, streamlines legal operations, and serves as a key resource for departments seeking guidance on legal language, document retention, and contract lifecycle management. This role is essential to the smooth operation of our legal and governance framework. Your attention to legal accuracy, contract lifecycle management, and procedural compliance will directly support the organization's ability to operate efficiently, ethically, and in alignment with all applicable laws.


What you'll do:

This is an hourly, non-exempt, full-time role. Your essential duties and responsibilities will consist of:

  • Draft, review, and revise a wide variety of contracts, including vendor agreements, non-disclosure agreements, independent contractor agreements, partnership MOUs, and service-level agreements.
  • Maintain an organized contract repository and ensure that contracts are accurately recorded, accessible, and current.
  • Monitor contract terms and key dates (e.g., renewals, expirations, obligations) and alert stakeholders in a timely manner.
  • Facilitate the execution process, including electronic signatures, document tracking, and secure archiving.
  • Maintain and update corporate bylaws, resolutions, and charters in accordance with board directives and legal standards.
  • Assist with governance support, including drafting board resolutions, preparing meeting minutes, and updating governance policies.
  • Ensure compliance with applicable corporate governance requirements and assist with internal audits or legal reviews.
  • Conduct legal and factual research to support internal stakeholders and external counsel.
  • Stay informed about changes in laws and regulations impacting contracts, nonprofit governance, or corporate operations.
  • Support litigation preparation and document production if necessary.
  • Manage document version control and maintain confidentiality and integrity of sensitive legal records.
  • Respond to internal inquiries related to contractual terms, governance documentation, and company policies.
  • Assist in implementing and maintaining legal process workflows for contract approval and retention.
  • Coordinate with external legal counsel on specialized matters and litigation support, as directed.
  • Other responsibilities as assigned.
  • Must record all hours worked. If overtime is ever worked (over 40 hours) advanced approval is required from the department manager
  • Timely and regular attendance is an essential function of the position; being physically present in the work environment is an essential job function.
  • Cross-training for other departmental functions is expected and required.
  • Must be able to work in a hybrid work environment both in the office and remotely (in the state of Florida).

Other Essential Skills

  • Strong understanding of legal terminology, structure, and principles related to contracts and corporate governance.
  • High degree of organization, time management, and critical thinking.
  • Ability to work independently with sound judgment, while also collaborating cross-functionally with other departments.
  • Ability to handle confidential information with discretion and integrity.
  • Experience using contract management or legal operations tools preferred (e.g., DocuSign, Ironclad, ContractWorks).
  • Must be able to follow company policies and procedures
  • Able to maintain professionalism at all times in a fast-paced, changing environment
  • Exceptional written and verbal communication, as well as listening and interpersonal communication skills.

Essential Physical Skills

  • Acceptable vision and hearing (with or without correction)
  • Bending on occasion and lifting up to approximately 20 pounds occasionally
  • Standing and walking approximately 2 or more hours a day
  • Talking and sitting for long periods of time, approximately 8-10 hours a day
  • Writing and/or typing for long periods of time, approximately 8-10 hours a day

Education, Certifications, and Software Skills

  • Associate's or Bachelor's Degree in Legal Studies, Business, or a related field.
  • Paralegal certificate from an ABA-accredited program preferred.
  • Minimum of 3-5 years of experience in a corporate legal department or law firm setting, with a focus on contracts and corporate governance.
  • Proficiency in Microsoft Office Suite (Word, Excel, Outlook, PowerPoint); experience with legal research tools (e.g., Westlaw, LexisNexis) is a plus.
